STATEMENT OF GENERAL TERMS & CONDITIONS
BAY WIND FIELD INC. SHARES SALES TRANSACTIONS
As a condition to requesting The Bay Wind Field Inc. to facilitate in the private sales
transactions of Bay Wind Field Shares and to using the website to advertise the sale of shares,
you hereby agree to the following terms:
1. Sales Requests.
- As a holder of Bay Wind Field Inc. Common shares, you may request in writing (via you Bay
Wind Sales Transaction Request Form) that Bay Wind Field Inc. facilitates in the sale of all or a
portion of your shares; additionally sales requests will be displayed online at www.baywind-ns.ca.
In submitting the sales instruction, you agree that The Bay Wind Field Inc. may transfer your
shares to complete the sale.
- Any sale instruction received by The Bay Wind Field Inc. will generally be processed
within five (5) business days; if the seller wishes to post their lot of shares to The Bay Wind
Field website page specifically designed for these postings, the first posting will be on Thursday
May 15th, 2008 and any subsequent postings will be added on the 1st business day of every
month.
- Bay Wind Field Inc. will assist in any sale transaction whereby the holder of Bay Wind
Shares completes and submit the required sales transaction request forms.
- The holder of Bay Wind Shares who wishes to sell all or a portion of their shares
understands that they are the party responsible to contact any potential buyers, negotiate the
terms of the sale, including the sale price of shares; once a buyer is found, the seller must
provide complete details of negotiated transaction to Bay Wind Field Inc for processing; the
seller is advised to Canada Revenue Agency and Nova Scotia Dept. of Finance to determine any
Federal Tax and Equity Tax Credit implications to the seller and buyer that may be a result of
the transaction; that the seller understands The Bay Wind Field will only facilitate with the
transaction and is not responsible for the sale of or for finding a buyer of Bay Wind shares
held by any shareholder in The Bay Wind Field Inc.
2. Fees. In processing a sale instruction, you agree that The Bay Wind Field
Inc. is entitled to compensation under its fee schedule. (Fee schedule is attached to Bay Wind
Sales Transaction Request Form which is available for download from www.baywind-ns.ca ).
All fees shall be paid by the seller prior to the completion of the sales transaction and
the issuance of any new share certificates.
3. Taxes. Holders of Bay Wind shares wishing to sell all or part of their
shares is advised to contact Canada Revenue agency for details on the taxes payable as a result
of their personal investment transaction. Should the shares be held in a self-directed RSP,
CRA will withhold taxes prior to the withdrawal and issuance of any monies to the seller.
The seller is advised to contact Canada Revenue Agency.
4. Equity Tax Credit. The Bay Wind Field Inc. is a Community Economic Development
Corporation whose shareholders have benefited from and/or will continue to benefit from a series
of tax credits offered to them over a ten year period as a result of the purchase of their shares,
therefore the shareholder is advised to contact Philip Hathaway at Nova Scotia Department of
Finance, for any information regarding the equity tax credits that pertain to this transaction.

5. Limitation of Liability. No obligations other than those that are specifically
set forth herein, it being expressly understood that there are no implied duties or obligations
under this transaction agreement. The Bay Wind Field Inc. shall not be liable to the shareholder
for any action taken or omitted to be taken in connection with or under this transaction agreement.
Under no circumstances whatsoever shall The Bay Wind Field Inc. be liable for special, indirect,
incidental, punitive or consequential loss, or damage of any kind whatsoever (including, but not
limited to, loss of profits), even if The Bay Wind Field Inc. has been advised of the possibility
of such loss or damage. Under no circumstances whatsoever shall The Bay Wind Field Inc. be liable
for any action or inactions of any shareholder or brokerage firm retained to perform any services
as indicated under the Sales Transaction Request.
6. Entire Agreement and Modifications. The terms and conditions of this agreement,
including this document and all exhibits attached hereto, constitute the entire agreement between
the parties with respect to the subject matter hereof and supersedes all prior or contemporaneous
agreements, whether written or oral, between the parties. No waiver, alteration, or modification
of any of these provisions shall be binding unless in writing and signed by a duly authorized
representative of each party.
7. Governing Law and Jurisdiction. The sales transaction agreement shall be
governed by and construed in accordance with the internal laws of the Province of Nova Scotia, and
the parties hereby consent to the exclusive jurisdiction of courts in Nova Scotia (whether
provincial or federal) over all matters relating to this agreement.

with common stock sales transactions, we receive non-public personal information about you. We
receive this information through transactions we perform for you, from enrolment forms and through
other communications with you. We may also receive information about you by virtue of your
transactions with affiliates of Bay Wind or other parties. This information may include your name,
social security number, stock ownership information and other financial information.
With respect both to the current and former customers; Bay Wind does not share non-public personal
information with any non-affiliated third party except as necessary to process the transaction,
service your account or as permitted by law. Our affiliates and outside service providers with
whom we share information are legally bound not to disclose the information in any manner, unless
permitted by law or other governmental process. We strive to restrict access to your personal
information to those employees that need to know the information to provide our services to you.
Bay Wind maintains physical, electronic and procedural safeguards to protect your personal
information. Bay Wind realizes that you entrust us with confidential personal and financial
information and we take that trust very seriously.
